These Terms of Service govern access to and use of UCARD's software platforms, Nexus and Paystation, and related services (the "Service"), provided by UCARD Innovations Limited ("UCARD"). Detailed commercial terms are set out in the master services agreement signed between UCARD and each institution; where these Terms and a signed agreement differ, the signed agreement prevails.
UCARD provides digital banking and payment software on a business-to-business SaaS basis to licensed institutions and operators. UCARD is a software provider; the institution is responsible for holding the licences required to conduct its own regulated activities.
UCARD targets 99.9% platform uptime across deployments, with sub-5-second settlement via NIBSS where applicable. Specific uptime commitments, measurement windows, service credits, and support response times are defined in each institution's signed agreement.
Institutions own their data. All customer and transaction data processed through the Service belongs to the institution. UCARD acts as a data processor and does not claim ownership of, or the right to sell, institution or customer data. Data handling is governed by our Privacy Policy.
Fees comprise a setup fee, a recurring platform fee, and volume-based transaction pricing, as set out in each institution's agreement. Pricing is based on institution size and the modules licensed.
Each party will protect the other's confidential information and use it only to perform under the agreement.
To the extent permitted by Nigerian law, UCARD's aggregate liability is limited as set out in the signed agreement. UCARD is not liable for indirect or consequential losses, or for losses arising from the institution's own regulatory non-compliance or misuse of the Service.
The Service is provided for the term set out in the institution's agreement. Either party may terminate for material breach that is not remedied within the notice period. On termination, UCARD will return or delete institution data per the institution's instructions and our Privacy Policy.
These Terms and any dispute arising from them are governed by the laws of the Federal Republic of Nigeria, and the parties submit to the jurisdiction of the Nigerian courts.
We may update these Terms. Material changes affecting active institutions will be communicated directly under the terms of their agreement.
